The agreement between you and Band Contractors Ltd for the use of VendorPlus
These Terms of Service ("Terms") govern your access to and use of VendorPlus (the "Service"), a business management, inventory and point-of-sale platform owned and operated by Band Contractors Ltd ("we", "us", "our"), a company registered in Uganda.
By creating an account, ticking the acceptance box at sign up, or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.
If you accept these Terms on behalf of a business, you confirm that you are authorised to bind that business, and "you" refers to that business.
You must be at least 18 years old and capable of entering into a binding contract to use the Service. You agree to provide accurate and complete registration information and to keep it up to date.
You are responsible for all activity that occurs under your Account, including the acts and omissions of your Users. You must keep passwords and access credentials confidential and notify us promptly of any suspected unauthorised access.

You own Your Data. We do not claim ownership of the business information you put into the Service. You grant us a limited licence to host, process, transmit, back up and display Your Data solely to provide and support the Service.
You are responsible for the accuracy and legality of Your Data and for ensuring you have the right to provide any personal information you enter about your customers, staff or suppliers. Our handling of personal information is described in the Privacy Policy.
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable during planned maintenance, updates, or due to events beyond our reasonable control, including internet, power or third-party hosting failures.
Support is provided through the contact channels published on our website during normal business hours in Uganda.
The Service, including its software, design, branding, documentation and all related intellectual property rights, remains the exclusive property of Band Contractors Ltd and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes for the duration of your Subscription. No other rights are granted.
The Service may integrate with third-party services such as payment providers, tax authority systems, messaging or email providers. Your use of those services is governed by their own terms, and we are not responsible for their availability, accuracy or acts.
You may stop using the Service and close your Account at any time. We may suspend or terminate your access if you materially breach these Terms, if fees remain unpaid, or if required by law.
Following termination, you may request an export of Your Data within 30 days. After that period we may delete Your Data in accordance with our retention practices.
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including fitness for a particular purpose and non-infringement.
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data, arising out of or in connection with your use of the Service.
Our total aggregate liability arising out of or relating to the Service shall not exceed the total subscription fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Band Contractors Ltd, its directors, employees and agents against any claims, damages, losses and reasonable costs arising from your misuse of the Service, your breach of these Terms, or your violation of any law or third-party right.
We may update these Terms from time to time. Where changes are material, we will give reasonable notice through the Service or by email. Continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the Republic of Uganda. The courts of Uganda shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, save that the parties shall first attempt to resolve the dispute amicably.
