1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of VendorPlus (the "Service"), a business management, inventory and point-of-sale platform owned and operated by Band Contractors Ltd ("we", "us", "our"), a company registered in Uganda.

By creating an account, ticking the acceptance box at sign up, or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.

If you accept these Terms on behalf of a business, you confirm that you are authorised to bind that business, and "you" refers to that business.

2. Definitions

• Account — the registered profile through which you access the Service.
• Your Data — the business information you enter into or generate through the Service, including items, stock, sales, invoices, customers, suppliers and reports.
• Subscription — the paid or trial plan under which you are licensed to use the Service.
• Users — the individuals you authorise to use the Service under your Account.

3. Eligibility and your account

You must be at least 18 years old and capable of entering into a binding contract to use the Service. You agree to provide accurate and complete registration information and to keep it up to date.

You are responsible for all activity that occurs under your Account, including the acts and omissions of your Users. You must keep passwords and access credentials confidential and notify us promptly of any suspected unauthorised access.

4. Free trial, subscriptions and payment

• New accounts may be offered a free trial. We may change or withdraw trial terms at any time.
• After the trial, continued use requires an active paid Subscription for the plan you select.
• Subscription fees, billing periods and plan limits are those shown on our pricing page at the time of purchase.
• Fees are payable in advance and, except where required by law, are non-refundable.
• We may change our fees on reasonable prior notice. Changes take effect at your next renewal.
• If payment is not received when due, we may suspend or downgrade access until the account is settled.

5. Acceptable use

You agree not to:

• use the Service for any unlawful, fraudulent or deceptive purpose, including falsifying financial or tax records;
• attempt to gain unauthorised access to the Service, other accounts, or our systems and networks;
• copy, resell, sublicense or make the Service available to third parties except as permitted by your plan;
• reverse engineer, decompile or attempt to derive the source code of the Service;
• upload malicious code or anything that may damage, disable or impair the Service;
• use automated means to extract data from the Service in a way that degrades performance for others.

6. Your Data and ownership

You own Your Data. We do not claim ownership of the business information you put into the Service. You grant us a limited licence to host, process, transmit, back up and display Your Data solely to provide and support the Service.

You are responsible for the accuracy and legality of Your Data and for ensuring you have the right to provide any personal information you enter about your customers, staff or suppliers. Our handling of personal information is described in the Privacy Policy.

7. Availability and support

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable during planned maintenance, updates, or due to events beyond our reasonable control, including internet, power or third-party hosting failures.

Support is provided through the contact channels published on our website during normal business hours in Uganda.

8. Intellectual property

The Service, including its software, design, branding, documentation and all related intellectual property rights, remains the exclusive property of Band Contractors Ltd and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes for the duration of your Subscription. No other rights are granted.

9. Third-party services

The Service may integrate with third-party services such as payment providers, tax authority systems, messaging or email providers. Your use of those services is governed by their own terms, and we are not responsible for their availability, accuracy or acts.

10. Suspension and termination

You may stop using the Service and close your Account at any time. We may suspend or terminate your access if you materially breach these Terms, if fees remain unpaid, or if required by law.

Following termination, you may request an export of Your Data within 30 days. After that period we may delete Your Data in accordance with our retention practices.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including fitness for a particular purpose and non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data, arising out of or in connection with your use of the Service.

Our total aggregate liability arising out of or relating to the Service shall not exceed the total subscription fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold harmless Band Contractors Ltd, its directors, employees and agents against any claims, damages, losses and reasonable costs arising from your misuse of the Service, your breach of these Terms, or your violation of any law or third-party right.

14. Changes to these Terms

We may update these Terms from time to time. Where changes are material, we will give reasonable notice through the Service or by email. Continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

15. Governing law

These Terms are governed by the laws of the Republic of Uganda. The courts of Uganda shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, save that the parties shall first attempt to resolve the dispute amicably.
